OpFix operating dashboard and its connected-app integrations
1.1 This End-User License Agreement ("Agreement") is between OpFix LLC, a limited liability company organized under the laws of the State of New Mexico ("OpFix"), and the business that connects an account to the Software or uses the Software ("Licensee"). The individual who accepts this Agreement on Licensee's behalf represents that they have authority to bind Licensee.
1.2 Licensee accepts this Agreement by connecting a third-party account to the Software, by clicking to accept it, or by using the Software, whichever happens first. If Licensee doesn't accept this Agreement, Licensee must not connect any account to the Software or use it.
2.1 "Software" means the hosted operating dashboard OpFix provides to Licensee, including its web interface, its integrations with Connected Services, its scheduled data synchronization, and any related documentation.
2.2 "Connected Service" means a third-party service Licensee authorizes the Software to access, including QuickBooks Online (provided by Intuit Inc.) and Jobber (provided by Octopusapp Inc., doing business as Jobber).
2.3 "Licensee Data" means the data the Software retrieves from a Connected Service under Licensee's authorization, the data Licensee enters into the Software, and the reports and figures the Software computes from either.
2.4 "Services Agreement" means any signed engagement agreement, phase agreement, addendum, retainer agreement or other written services agreement between OpFix and Licensee that is in effect.
3.1 Where Licensee and OpFix are parties to a Services Agreement, the Services Agreement governs Licensee's use of the Software. This Agreement supplements it. If this Agreement and the Services Agreement conflict, the Services Agreement controls.
3.2 OpFix owns any system it installs for Licensee under a Services Agreement, including the Software, until Licensee has paid at least seventy-five percent (75%) of the total fees due under that Services Agreement. Once that threshold is paid, ownership of the installed system transfers to Licensee as the Services Agreement provides. OpFix's methods, frameworks and pre-existing tools remain OpFix's property in all cases. Nothing in this Agreement limits any other right Licensee holds under a Services Agreement.
4.1 Subject to this Agreement, OpFix grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the Term, solely for Licensee's internal business operations.
4.2 Licensee may permit its employees and contractors to use the Software on Licensee's behalf. Licensee is responsible for their use and for keeping their login credentials confidential.
Licensee will not, and will not permit anyone else to:
(a) copy, modify, translate or create derivative works of the Software;
(b) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, except to the extent applicable law expressly permits it despite this restriction;
(c) sell, rent, lease, sublicense, resell or provide the Software to any third party, or use it to provide services to third parties;
(d) remove or alter any proprietary notice in the Software;
(e) use the Software in violation of applicable law or of the terms of any Connected Service;
(f) interfere with or disrupt the integrity, security or performance of the Software, or attempt to gain unauthorized access to it or to its related systems; or
(g) use the Software to build a competing product or service.
6.1 Authorization. By connecting a Connected Service, Licensee authorizes OpFix to access the data in that account through the Connected Service's interface, to the extent of the permissions Licensee grants, solely to provide the Software to Licensee.
6.2 Read-only access. The Software reads data from QuickBooks Online and does not create, change or delete records in Licensee's QuickBooks Online company. The permission QuickBooks Online grants for accounting data includes write access; OpFix does not use it.
6.3 Disconnection. Licensee may disconnect a Connected Service at any time, from the Software or from within the Connected Service. On disconnection, the Connected Service revokes the Software's access and the Software stops retrieving data from it. Where Licensee disconnects from within the Software, OpFix also deletes the stored authorization. Disconnection does not delete Licensee Data already retrieved; Section 7.5 governs its deletion.
6.4 Third-party terms. Each Connected Service is provided by its own provider under that provider's terms. Licensee's use of a Connected Service is governed by those terms. OpFix is not responsible for the availability, accuracy or performance of any Connected Service, or for any change a provider makes to its service or interface.
6.5 Intuit. Intuit Inc. is not a party to this Agreement and is not responsible for the Software, its content, its support or any claim relating to it. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. The Software is not made or endorsed by Intuit Inc.
7.1 Ownership. As between the parties, Licensee owns Licensee Data. Nothing in this Agreement transfers ownership of Licensee Data to OpFix.
7.2 OpFix's use. OpFix will use Licensee Data only to provide, maintain, secure and support the Software for Licensee, and as permitted by a Services Agreement. OpFix will not sell, rent or license Licensee Data to any third party, and will not use Licensee Data from a Connected Service for advertising.
7.3 Service providers. OpFix may use third-party service providers, including cloud hosting and database providers, to store and process Licensee Data solely to provide the Software. OpFix will use only providers bound by written terms that limit their use of the data to providing services to OpFix, remains responsible for its providers' handling of Licensee Data, and will identify its providers on written request.
7.4 Security. OpFix maintains reasonable administrative, technical and physical safeguards designed to protect Licensee Data against unauthorized access, use or disclosure. These include encrypting Connected Service authorization tokens at rest, transmitting data over encrypted connections, and limiting access to the Software to authenticated users with assigned permissions.
7.5 Deletion. Within thirty (30) days after the Term ends, or after Licensee's written request, OpFix will delete Licensee Data from the Software, except where a Services Agreement or applicable law requires OpFix to retain it. On request, OpFix will provide an export of Licensee Data in a commonly used format before deletion.
7.6 Accuracy. The Software reports data as it exists in each Connected Service. Figures computed from Connected Service data are only as complete and accurate as that data. The Software does not reconcile Connected Service data to Licensee's bank records unless it says so expressly.
8.1 OpFix and its licensors own all right, title and interest in and to the Software, including its design, code, methods, configurations and documentation, and all improvements to them. All rights not expressly granted in this Agreement are reserved.
8.2 If Licensee gives OpFix feedback or suggestions about the Software, OpFix may use them without restriction or obligation to Licensee.
8.3 Section 8.1 is subject to Section 3.2.
9.1 This Agreement begins when Licensee accepts it and continues until terminated ("Term").
9.2 Licensee may terminate this Agreement at any time by disconnecting all Connected Services and notifying OpFix in writing.
9.3 OpFix may terminate this Agreement, or suspend Licensee's access to the Software, on written notice if Licensee breaches Section 5 or if a Services Agreement ends. Where a Services Agreement is in effect, any termination for any other reason follows the Services Agreement.
9.4 On termination, the license in Section 4 ends, Licensee must stop using the Software, and Section 7.5 applies. Sections 5, 7, 8, 10, 11, 12 and 13 survive termination.
Except as expressly stated in a Services Agreement, the Software is provided "as is" and "as available." To the fullest extent permitted by law, OpFix disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. OpFix does not warrant that the Software will be uninterrupted or error-free, or that any figure it reports is complete or accurate. The Software does not provide accounting, tax, legal or investment advice, and Licensee should not rely on it in place of a qualified professional.
11.1 To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, loss of data or business interruption, arising out of or relating to this Agreement or the Software, regardless of the theory of liability, even if advised of the possibility of such damages.
11.2 OpFix's total cumulative liability arising out of or relating to this Agreement or the Software will not exceed one hundred US dollars (US$100). Where a Services Agreement is in effect, its limitation of liability applies instead of this Section 11.2.
Licensee will defend and indemnify OpFix against third-party claims arising from Licensee's breach of Section 5, or from Licensee Data that Licensee had no right to provide or to authorize OpFix to access. OpFix will defend and indemnify Licensee against third-party claims that the Software, as provided by OpFix, infringes a United States intellectual property right, except to the extent the claim arises from Licensee Data, a Connected Service or a use the Software wasn't designed for.
13.1 Governing law. This Agreement is governed by the laws of the State of New Mexico, without regard to its conflict of laws principles.
13.2 Negotiation. The parties will first attempt to resolve any dispute arising out of or relating to this Agreement by good faith negotiation between principals for thirty (30) days after written notice of the dispute.
13.3 Mediation. Any dispute not resolved by negotiation will be submitted to mediation in Albuquerque, New Mexico, with the costs of the mediator shared equally.
13.4 Binding arbitration. Except as provided in Section 13.5, any dispute not resolved by mediation will be resolved by final and binding arbitration in Albuquerque, New Mexico, before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction. All claims are arbitrated on an individual basis.
13.5 Carve-out. Either party may seek temporary, preliminary or permanent injunctive or other equitable relief to enforce Section 5 or Section 8, or to protect confidential information or intellectual property, in the state or federal courts located in Bernalillo County, New Mexico, without first completing Sections 13.2 through 13.4. The parties consent to the jurisdiction and venue of those courts for that purpose. This Section 13.5 controls over Sections 13.2 through 13.4.
13.6 Services Agreement. Where a Services Agreement is in effect, its dispute resolution provisions govern any dispute that arises under both agreements.
14.1 Entire agreement. This Agreement, together with any Services Agreement, is the entire agreement between the parties about the Software and supersedes all prior discussions about it.
14.2 Changes. OpFix may update this Agreement by posting a revised version and notifying Licensee at least thirty (30) days before it takes effect. Licensee's continued use of the Software after that date is acceptance of the revised version. A change never overrides a Services Agreement.
14.3 Assignment. Licensee may not assign this Agreement without OpFix's written consent. OpFix may assign this Agreement to a successor in a merger or a sale of substantially all of its assets.
14.4 Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder of this Agreement continues in effect.
14.5 Waiver. No waiver of any breach is a waiver of any other breach.
14.6 Force majeure. Neither party is liable for any delay or failure caused by events beyond its reasonable control, including any outage or change in a Connected Service.
14.7 Notices. Notices to OpFix go to info@opfix.io and to OpFix LLC, 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110. Notices to Licensee go to the email address associated with Licensee's account in the Software.
14.8 Version. This version of this Agreement is effective as of October 23, 2026.
